TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE FEDERAL AND STATE LAW, INCLUDING THE LAWS OF THE UNITED STATES, JET'S PIZZA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, SUPPLIERS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY:

• Indirect, incidental, special, consequential, or punitive damages;
• Loss of profits, revenue, data, goodwill, or other intangible losses;
• Damages resulting from your inability to access or use our Services;
• Damages resulting from unauthorized access to or alteration of your transmissions or data;
• Damages resulting from the conduct of any third party in connection with our Services;
• Any other matter relating to our Services.

These limitations apply regardless of whether such damages are based on warranty, contract, tort (including negligence), statute, or any other legal or equitable theory, and even if Jet's Pizza has been advised of the possibility of such damages.

In no event shall our total cumulative liability to you for all claims arising out of or relating to these Terms or your use of our Services exceed the greater of: (i) the total amount you paid to Jet's Pizza in the twelve (12) months immediately preceding the event giving rise to the claim, or (ii) one hundred U.S. dollars ($100.00).

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for certain types of damages. Accordingly, some of the limitations above may not apply to you to the extent prohibited by applicable law.

You agree to defend, indemnify, and hold harmless Jet's Pizza and its officers, directors, employees, agents, licensors, service providers, and successors from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

13. Governing Law and Jurisdiction

These Terms of Service shall be governed by and construed in accordance with the laws of the United States of America and applicable state law, without regard to any conflict of law principles that would cause the application of the laws of any other jurisdiction.

Any legal action or proceeding arising out of or related to these Terms or your use of our Services that is not subject to the arbitration provisions below shall be instituted exclusively in the federal courts of the United States or the courts of the state in which Jet's Pizza is located, and you irrevocably submit to the personal jurisdiction of such courts for this purpose.

14. Dispute Resolution

14.1 Informal Resolution

Before initiating any formal legal proceedings, you agree to first contact Jet's Pizza at [email protected] and attempt to resolve any dispute, claim, or controversy arising from or relating to these Terms or our Services informally. We will make a good-faith effort to resolve the matter within thirty (30) days of receiving your written notice. If the dispute is not resolved within that period, either party may proceed to formal dispute resolution as outlined below.

14.2 Binding Arbitration

Except for claims that qualify for small claims court, you and Jet's Pizza agree that any dispute, claim, or controversy arising out of or relating to these Terms, or the breach, termination, enforcement, interpretation, or validity thereof, or to the use of the Services, shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court. The arbitration will be conducted in the English language.

The arbitrator shall have exclusive authority to resolve any dispute relating to the interpretation, applicability, enforceability, or formation of this arbitration agreement. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

14.3 Class Action Waiver

YOU AND JET'S PIZZA AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Further, unless both you and Jet's Pizza agree otherwise, the arbitrator may not consolidate more than one person's claims, and may not otherwise preside over any form of a representative or class proceeding.

14.4 Exceptions

Notwithstanding the arbitration agreement above, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's intellectual property rights, privacy rights, or other proprietary rights.

15. Term and Termination

These Terms shall remain in full force and effect while you use our Site or Services. We reserve the right, in our sole discretion, to:

• Suspend or terminate your access to all or any part of our Services at any time, with or without cause, with or without notice;
• Delete or deactivate your account and all related information and files in your account;
• Refuse any and all current or future use of our Services.

Upon termination of your access to our Services for any reason, all licenses and other rights granted to you in these Terms will immediately terminate. No oral or written information or advice given by Jet's Pizza or its authorized representatives shall create any warranty or in any way increase the scope of the obligations undertaken in these Terms. Jet's Pizza shall not be liable or responsible to you, nor be deemed to have defaulted or breached these Terms, for any failure or delay in our performance under these Terms when and to the extent such failure or delay is caused by or results from acts or circumstances beyond our reasonable control, including but not limited to: acts of God, flood, fire, earthquake, explosion, governmental actions, war, invasion or hostilities (whether war is declared or not), terrorist threats or acts, riot or other civil unrest, national emergency, revolution, insurrection, pandemic, epidemic, lockout, strikes or other labor disputes, failure of third-party services or telecommunications infrastructure, or any other event that is beyond our reasonable control.
